Welcome to GlassSwap. These Terms of Service (“Terms”) govern your access to and use of the GlassSwap website and platform (the “Platform”), operated by GlassSwap (“we,” “us,” or “our”). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Eligibility

GlassSwap is a trade-only marketplace intended for verified, legitimate auto glass businesses. By creating an account, you represent that:

• You are at least 18 years old
• You have the authority to bind the business you represent
• The business information you provide is accurate and current
• You operate a legitimate auto glass company or related business

We reserve the right to verify business status and to deny, suspend, or terminate accounts that do not meet our eligibility criteria.

2. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use of your account.

3. Nature of the Platform

GlassSwap provides a marketplace where verified shops can list, browse, and connect regarding auto glass inventory (including windshields, door glass, sunroofs, and related parts). GlassSwap does not buy, sell, own, inspect, or take possession of any inventory listed on the Platform. All transactions, negotiations, pricing, payment, and fulfillment occur directly between the shops involved. GlassSwap is not a party to any transaction between users.

4. Listings

When posting inventory, you agree that:

• All information provided (part description, condition, make, model, year, OEM number, pricing, and images) is accurate and not misleading
• You have the legal right to sell or trade the listed item
• Listings will not include prohibited, stolen, counterfeit, or illegally obtained items
• You are solely responsible for the accuracy and legality of your listings

We reserve the right to remove any listing that violates these Terms or that we determine, in our discretion, to be inappropriate.

5. Transactions Between Shops

All sales, trades, negotiations, payments, shipping, and returns are handled directly between the shops involved. GlassSwap:

• Does not guarantee the quality, safety, legality, or accuracy of any listed item
• Is not responsible for payment disputes, non-delivery, damaged goods, or disagreements between shops
• Does not mediate disputes, though we may, at our discretion, assist in good faith

We strongly encourage users to verify part condition, communicate clearly, and use sound business judgment before completing any transaction.

6. Fees

7. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose

Violation of these Terms may result in suspension or termination of your account.

8. Intellectual Property

The Platform, including its design, features, and content (excluding user-submitted listing content), is owned by GlassSwap and protected by applicable intellectual property laws. You may not copy, modify, or distribute any part of the Platform without our written permission.

By posting content (including listing photos and descriptions), you grant GlassSwap a non-exclusive, royalty-free license to display, reproduce, and distribute that content in connection with operating and promoting the Platform.

9. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT LISTINGS ARE ACCURATE, THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY TRANSACTION BETWEEN USERS WILL BE SATISFACTORY.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GLASSSWAP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE PLATFORM OR ANY TRANSACTION BETWEEN USERS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

11. Indemnification

You agree to indemnify and hold harmless GlassSwap, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Platform, your listings, or your transactions with other users.

12. Termination

We may suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users or the Platform. You may also close your account at any time by contacting us.

13. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in California.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms. We will update the “Last Updated” date when changes are made.
